Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WorkDigital Accounting platform ("Service") operated by Work Digital LLC ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

WorkDigital Accounting provides cloud-based accounting software including journal entry management, chart of accounts, bank transaction import, receipt processing, financial reporting, and related services. The Service is designed for small-to-medium businesses and their authorized financial operators.

3. Accounts and Access

You must provide accurate information when creating an account.
You are responsible for maintaining the security of your account credentials, including passkeys.
You must promptly notify us of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Attempt to gain unauthorized access to any part of the Service.
Interfere with or disrupt the integrity or performance of the Service.
Upload malicious code, viruses, or harmful content.
Use the Service to process transactions for illegal activities.

5. Data Ownership and Retention

You retain ownership of all financial data you enter into the Service.
We maintain your data in accordance with GAAP-compliant retention policies.
Posted journal entries are immutable and subject to audit trail requirements.
You may export your data at any time in standard formats.
Upon account termination, data is retained for the legally required period before secure deletion.

6. SMS/MMS Messaging Terms

WorkDigital Accounting SMS Notifications Program

The Service offers an optional SMS/MMS messaging feature for receipt intake and account notifications. SMS enrollment is voluntary and is not required to use the Service.

By opting in via our SMS Consent page, you authorize Work Digital LLC to send automated, two-way SMS/MMS messages for transactional and operational purposes including receipt intake confirmations, clarification prompts, and account status notifications. No marketing or promotional messages are sent.

Message frequency varies based on account activity. Message and data rates may apply depending on your carrier plan. SMS consent is not a condition of purchase or use of the Service.

To opt out at any time, reply STOP to any message. You will receive a confirmation message after opting out and will no longer receive SMS messages unless you re-enroll.

We do not sell or share SMS opt-in consent or phone numbers with third parties for marketing purposes.

Supported carriers include major U.S. carriers. Carriers are not liable for delayed or undelivered messages.

7. Fees and Payment

Certain features of the Service may require payment. Fees, billing cycles, and payment terms will be communicated at the time of purchase. We reserve the right to modify pricing with 30 days advance notice.

8. Intellectual Property

The Service, including its design, code, features, and documentation, is the property of Work Digital LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORK DIGITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless Work Digital LLC from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Modifications

We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.
